Terms of Service ​

These Terms of Service ("Terms") govern your use of FFFFinance, the personal finance application ("Service") made by MegaSuperSoft Limited ("MegaSuperSoft", "we", "us", "our"), a company incorporated in New Zealand.

By downloading, installing, or using FFFFinance, you agree to these Terms. If you do not agree, do not use the app.

1. Acceptance of Terms ​

These Terms form a legally binding agreement between you and MegaSuperSoft. You must be at least 16 years old to use FFFFinance. If you are using FFFFinance on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service ​

FFFFinance is a local-first personal finance desktop application for New Zealand residents. The Service includes:

  • A desktop application (Electron) for Linux, macOS, and Windows
  • Optional connection to NZ bank accounts via Akahu open banking
  • An on-device AI assistant ("Freddy") for financial analysis
  • Optional encrypted cloud sync (Pro and Cloud tiers)
  • Optional cloud AI processing (Cloud tier)

The core application runs locally on your device. Cloud features are optional and are described in section 4.

MegaSuperSoft reserves the right to add, modify, or remove features of the Service. We will give reasonable notice of significant changes.

3. Account and Billing ​

3.1 Subscription Tiers ​

All prices are in New Zealand Dollars (NZD) and are inclusive of GST at 15%.

3.2 Billing ​

  • Pro and Cloud subscriptions are billed monthly
  • Payment is processed by our payment provider — you must agree to their terms at checkout
  • Your subscription renews automatically at the end of each billing period unless cancelled
  • You may cancel at any time from your account settings; access continues until the end of the current paid period, with no partial refunds

3.3 Free Tier ​

The Free tier is provided without a time limit. We may introduce limits on free tier usage in the future, with at least 60 days' notice.

3.4 Price Changes ​

We will give at least 30 days' notice of any price increase. Continued use of a paid tier after the notice period constitutes acceptance of the new price.

4. Cloud Features ​

Pro and Cloud features depend on third-party infrastructure:

  • Cloud sync uses Cloudflare D1. Your data is encrypted at rest and in transit.
  • Cloud AI uses Anthropic or OpenAI APIs with your own API key. MegaSuperSoft does not store or process your AI queries.

We do not guarantee 100% uptime for cloud features. Planned maintenance will be announced where possible.

5. Acceptable Use ​

You agree not to use FFFFinance to:

  • Violate any applicable New Zealand law or regulation
  • Circumvent, disable, or interfere with security features of the Service
  • Attempt to gain unauthorised access to any systems or networks connected to the Service
  • Use the Service in any way that could damage, disable, or impair the Service
  • Reverse-engineer, decompile, or disassemble any part of the Service, except as permitted by law
  • Use automated tools to scrape or extract data from the Service beyond its intended API integrations

FFFFinance is for personal use. Using it to manage finances for multiple unrelated third parties without a commercial agreement with MegaSuperSoft is not permitted under the Free or individual subscription tiers.

6. Intellectual Property ​

6.1 Our IP ​

FFFFinance, including its source code, design, trademarks, and documentation, is owned by MegaSuperSoft Limited and protected by copyright and other intellectual property laws. The FFFFinance name and logo are trademarks of MegaSuperSoft Limited.

6.2 Open Source Components ​

FFFFinance uses open source libraries. Their respective licences are bundled with the application. Nothing in these Terms limits your rights under those licences.

6.3 Feedback ​

If you provide feedback or suggestions, you grant MegaSuperSoft a perpetual, royalty-free licence to use that feedback in any way, without any obligation to compensate you.

7. Your Data ​

You own your data. This is a core principle of FFFFinance.

  • Your financial data is stored locally on your device. You can export it, move it, or delete it at any time.
  • MegaSuperSoft does not claim any ownership over your financial data, budgets, or personal information.
  • If you choose to use cloud sync, your data is stored in infrastructure you control — we do not monetise, sell, or analyse your data.
  • If you stop using FFFFinance, you can take your data with you. We will maintain an export function for the lifetime of the product.

8. Akahu Integration ​

FFFFinance integrates with Akahu (akahu.nz), a licensed NZ open banking aggregator. Your use of Akahu is subject to Akahu's Terms of Service in addition to these Terms.

MegaSuperSoft is not responsible for Akahu's service availability, data accuracy, or changes to Akahu's API that may affect FFFFinance functionality.

9. Not Financial Advice ​

FFFFinance is a financial data tool, not a financial adviser.

Nothing in FFFFinance — including the AI assistant Freddy, forecasts, projections, simulations, and budget suggestions — constitutes financial advice under the Financial Markets Conduct Act 2013 or any other New Zealand law.

We strongly recommend consulting a qualified financial adviser licensed by the Financial Markets Authority (FMA) for decisions about investments, retirement planning, tax strategy, or significant financial commitments.

MegaSuperSoft is not a registered financial services provider.

10. Disclaimers ​

The Service is provided "as is" and "as available". To the extent permitted by New Zealand law:

  • We do not warrant that the Service will be uninterrupted, error-free, or secure
  • We do not warrant the accuracy, completeness, or timeliness of data fetched from Akahu or other sources
  • We are not responsible for errors in your bank's data as reported through Akahu

Nothing in these Terms excludes any guarantee, warranty, or right you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 that cannot be excluded by law.

11. Limitation of Liability ​

To the maximum extent permitted by New Zealand law, MegaSuperSoft's total liability to you for any claim arising from or related to these Terms or the Service is limited to the greater of:

  • The amount you paid to MegaSuperSoft in the 12 months before the claim arose, or
  • NZD $50

MegaSuperSoft is not liable for any indirect, incidental, consequential, or special loss, including loss of data, loss of profit, or loss of business opportunity, even if we were advised of the possibility of such loss.

These limitations do not apply to:

  • MegaSuperSoft's liability for fraud or wilful misconduct
  • Any liability that cannot be limited under the Consumer Guarantees Act 1993 or other applicable NZ law

12. Termination ​

12.1 By You ​

You may stop using FFFFinance at any time. Cancelling a paid subscription stops future charges. Your local data remains on your device until you delete it.

12.2 By Us ​

We may suspend or terminate your access to cloud features (not the local app) if:

  • You breach these Terms
  • You fail to pay subscription fees after reasonable notice
  • We are required to do so by law

We will provide reasonable notice where possible. Termination of cloud features does not affect your locally stored data.

12.3 Discontinuation ​

If MegaSuperSoft discontinues FFFFinance, we will:

  • Provide at least 90 days' notice
  • Ensure an export function is available during the notice period
  • Refund any prepaid subscription fees pro-rata

13. Governing Law and Disputes ​

These Terms are governed by the laws of New Zealand. Any dispute arising from these Terms or your use of FFFFinance will be subject to the exclusive jurisdiction of the New Zealand courts.

Before commencing any legal proceedings, you agree to contact MegaSuperSoft at hello@megasupersoft.com to attempt to resolve the dispute informally. We will endeavour to respond within 10 working days.

Nothing in this clause limits any right you have to access the Disputes Tribunal of New Zealand for claims within its jurisdiction.

14. Consumer Rights ​

Nothing in these Terms limits your rights under:

  • Consumer Guarantees Act 1993 — guarantees about the quality and fitness of services
  • Fair Trading Act 1986 — protection against misleading and deceptive conduct
  • Privacy Act 2020 — rights regarding your personal information

If there is any inconsistency between these Terms and your statutory rights, your statutory rights prevail.

15. Changes to These Terms ​

We may update these Terms from time to time. If we make material changes:

  • We will update the "Last updated" date at the top of this page
  • We will notify users with active cloud subscriptions via the app
  • Continued use of the Service after the effective date of changes constitutes acceptance

For significant changes, we will provide at least 30 days' notice.

16. Entire Agreement ​

These Terms, together with the Privacy Policy and Security Policy, constitute the entire agreement between you and MegaSuperSoft regarding FFFFinance and supersede any prior agreements.

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
